Terms & Conditions

1. Introduction

These Terms and Conditions (Terms) govern your access to and use of:
• the HALO Investment Research platform and software (Platform);
• the website located at www.halo-technologies.com (Website); and
• any related products, services, content or functionality provided by HALO Technologies Pty Ltd ACN 623 830 866 (HALO, we, us or our).

By accessing or using the Platform, Website or services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform or Website.

HALO Technologies Pty Ltd is a Corporate Authorised Representative (CAR No. 001261916) of Macrovue Pty Limited ACN 600 022 679 AFSL 484264. These entities are wholly owned subsidiaries of HALO Technologies Holdings Ltd ACN 645 531 219.

2. Eligibility and account registration

You must:

• be at least 18 years old;
• have legal capacity to enter into binding agreements; and
• ensure that all information provided to us is accurate and up to date.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity occurring under your account; and
• ensuring your devices and systems are appropriately secured.

You must notify us immediately if you become aware of any unauthorised access to your account.

3. Subscription and access

Access to certain parts of the Platform may require payment of subscription fees.

Subscription pricing, billing frequency and payment terms will be provided during onboarding or renewal.

Unless otherwise stated:

• subscriptions renew automatically at the end of each subscription period;
• fees are payable in advance; and
• fees are non-refundable except where required by law.

We may suspend or restrict access where:

• subscription fees remain unpaid;
• we reasonably suspect fraudulent, unlawful or unauthorised activity; or
• required for operational, security or compliance purposes.

4. Permitted use

You may use the Platform and Website solely for lawful internal business or personal purposes in accordance with these Terms.

You must not:

• copy, reproduce or commercially exploit the Platform or content;
• reverse engineer or attempt to extract source code;
• interfere with Platform security or functionality;
• use automated scraping, bots or extraction tools;
• upload malicious code or harmful material;
• use the Platform in breach of any law or regulation;
• misuse market data or third-party content;
• impersonate another person or entity.

We may monitor Platform usage for security, compliance and operational purposes.

5. Financial information and general advice warning

The Platform and related content are provided for information and research purposes only.

Any financial product information or commentary provided through the Platform is general information only and does not constitute:

• personal financial advice;
• investment advice;
• legal advice;
• taxation advice; or
• a recommendation to acquire or dispose of a financial product.

We do not consider your personal objectives, financial situation or needs.

You should obtain independent professional advice before making financial or investment decisions.

Past performance is not a reliable indicator of future performance.

6. AML/CTF and identity verification

We may collect, verify and monitor personal information and identity information to comply with:

• the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth);
• sanctions laws;
• fraud prevention obligations; and
• other legal or regulatory requirements.

You agree to provide information and documentation reasonably requested by us for these purposes.

We may:

• conduct electronic identity verification;
• use third-party verification providers;
• conduct sanctions and politically exposed person screening; and
• suspend or terminate services where verification requirements are not satisfied.

7. Privacy

We handle personal information in accordance with:

• the Privacy Act 1988 (Cth);
• the Australian Privacy Principles; and
• our Privacy Policy available on the Website.

By using the Platform or Website, you consent to our collection, use, storage and disclosure of personal information as described in our Privacy Policy.

From time to time, your adviser or authorised representative within the HALO licensed group may change. Where this occurs, we may disclose your Personal Information to your new adviser or authorised representative for the purpose of continuing to provide products, services, account support and related assistance to you. We will notify you of any such change where required by law or where otherwise considered appropriate by us.

8. Intellectual property

All intellectual property rights in the Platform, Website and content are owned by or licensed to HALO.

Nothing in these Terms transfers ownership of any intellectual property rights to you.

You are granted a limited, non-exclusive, revocable and non-transferable licence to access and use the Platform in accordance with these Terms.

9. Third-party services and data

The Platform may include content, services or data supplied by third parties, including market data providers.

We do not guarantee:

• the accuracy or completeness of third-party information;
• uninterrupted availability of third-party services; or
• compatibility with third-party systems.

Your use of third-party services may also be subject to separate terms and conditions.

10. Availability and security

We aim to maintain Platform availability but do not guarantee uninterrupted or error-free access.

We may:

• perform maintenance;
• modify features or functionality;
• suspend access temporarily; or
• implement security measures without notice where reasonably necessary.

You acknowledge that online services may be subject to interruptions, cybersecurity risks or technical failures.

11. Limitation of liability

To the maximum extent permitted by law:

• the Platform and Website are provided “as is” and “as available”;
• we exclude all warranties not expressly stated in these Terms; and
• we are not liable for indirect, incidental, special or consequential loss.

This includes loss relating to:

• profits;
• investment losses;
• revenue;
• business interruption;
• loss of data; or
• reputational damage.

Nothing in these Terms excludes rights that cannot lawfully be excluded under Australian law, including consumer guarantees under the Australian Consumer Law.

Where liability cannot be excluded, our liability is limited to:

• resupplying the relevant services; or
• refunding the amount paid for the relevant services,
at our discretion.

12. Indemnity

You indemnify HALO and its officers, employees, contractors and related entities against claims, losses, liabilities, damages and expenses arising from:

• your breach of these Terms;
• unlawful use of the Platform;
• infringement of third-party rights; or
• misuse of content or data.

13. Suspension and termination

We may suspend or terminate your access immediately where:

• you breach these Terms;
• we suspect unlawful or fraudulent activity;
• required by law or regulation; or
• necessary to protect the Platform or other users.

You may cancel your subscription in accordance with your subscription terms.

Termination does not affect accrued rights or obligations.

14. Changes to these Terms

We may update these Terms from time to time.

Updated Terms will be published on the Website with the revised effective date.

Continued use of the Platform after updated Terms take effect constitutes acceptance of the revised Terms.

Where required by law, we will provide reasonable notice of material changes.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia.

You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
